1. Acceptance of terms

By downloading, installing, or using SpendAwake ("the app," "the service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the app.


2. What SpendAwake is (and is not)

SpendAwake is a financial education and cash flow coaching tool. We help you understand where your money goes by connecting to your bank accounts and organizing your spending into categories and buckets.

SpendAwake is NOT:

Nothing in the app, including any educational content, nudges, lessons, spending breakdowns, or cash flow analysis, constitutes financial advice, investment advice, tax advice, or legal advice. All content is educational. You are responsible for your own financial decisions.


3. Subscription and billing

Free trial: New accounts include a 7-day free trial. No charge during the trial period.

Subscription plans: After the trial, continued access requires a paid monthly or annual subscription. Current pricing is shown in the app and in the App Store or Google Play listing.

Auto-renewal: Subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before renewal.

Cancellation: Cancel anytime through your App Store account settings (iOS) or Google Play account settings (Android). Cancellation takes effect at the end of the current billing period. Access continues until then.

Refunds: Refund policies are governed by Apple's App Store and Google Play policies. SpendAwake does not issue refunds for partial subscription periods.

5. Plaid bank connection

SpendAwake uses Plaid to connect to your bank accounts. By connecting a bank account, you authorize Plaid to access your financial data on your behalf, subject to Plaid's End User Privacy Policy (plaid.com/legal/end-user-privacy-policy).

SpendAwake receives read-only access to your account names, balances, and transaction history through Plaid. We cannot initiate transfers or move money. You can disconnect your bank accounts at any time from within the app.

SpendAwake provides financial education tools, not advice. We make no representations or warranties that the app's outputs, including spending categorizations, bucket breakdowns, or educational content, are accurate, complete, or suitable for your individual financial situation.

To the fullest extent permitted by applicable law:

Some jurisdictions do not allow limitations on implied warranties or consequential damages, so some of the above may not apply to you.


8. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the app will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy of transaction categorizations, balance information, or any other financial data.


9. Termination

We may suspend or terminate your account if you violate these terms. We will provide reasonable notice where practicable, except in cases of severe or repeated violations.

You may terminate your account at any time by using the in-app account deletion flow (Profile > Delete Account). Termination does not entitle you to a refund except as required by applicable law or platform policies.


10. Intellectual property

All content, design, software, and trademarks in SpendAwake are owned by or licensed to SpendAwake. Nothing in these terms grants you any right to use SpendAwake's name, logo, or trademarks without our written permission.


11. Privacy

Your use of SpendAwake is also governed by our Privacy Policy. By using the app, you agree to the collection and use of data as described in the Privacy Policy.


12. Arbitration and class action waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these terms or your use of SpendAwake that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, rather than in court. You and SpendAwake each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding of any kind. The arbitration will be conducted in San Francisco, California, or remotely if both parties agree. Each party will bear its own costs unless the arbitrator finds a claim frivolous or brought in bad faith.

Opt-out right: You may opt out of this arbitration agreement within 30 days of first using SpendAwake by emailing legal@spendawake.com with the subject line "Arbitration Opt-Out" and your account email address. Opting out does not affect any other part of these terms.

This arbitration clause does not apply to claims that qualify for small claims court, or to requests for emergency injunctive relief to protect intellectual property rights.


13. Governing law

These terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 12, you consent to the exclusive jurisdiction of the courts of California.


14. Changes to these terms

We may update these terms from time to time. We will notify you of material changes via in-app notice or email at least 14 days before the change takes effect. Continued use of the app after the effective date of any change constitutes acceptance of the updated terms.
